SecurCapital Corp. continues to actively advance strategic initiatives following the previously announced transition away from the original Share Exchange Agreement structure with Mushrooms Inc. (OTC: MSRM).
The Company wants shareholders to understand that the alternative transaction structure currently under discussion is not simply a continuation of the prior Share Exchange Agreement, but instead involves a new proposed acquisition structure through a Share Purchase Agreement (“SPA”), requiring new due diligence, documentation, financing, legal work, and regulatory review.
Stephen J. Russell, Chief Executive Officer, commented:
“We understand shareholders are eager for greater visibility regarding timing. While the structure under consideration has evolved, our broader strategy and path forward remain unchanged. We believe the opportunities in front of us are broader and stronger than before. We remain actively engaged and focused on executing the right transaction for our shareholders and are working diligently toward providing a clearer timeline as developments progress. Management is currently working toward completing the SPA process by the end of April 2026, or as soon as reasonably practicable thereafter.”
Management believes the opportunity set has expanded meaningfully in recent weeks and continues to focus on our core logistics, infrastructure, finance, transportation, airline wholesale, and operating company strategy.
The Company is currently engaged in active discussions and documentation efforts regarding a potential Pacific Northwest operating company acquisition, as well as separate wholesale bulk space inaugural launch discussions involving a global cargo airline operator from Southeast Asia to key USA markets.
Management remains actively engaged on multiple fronts and believes the Company is in a stronger strategic position today than it was prior to the recent restructuring discussions.
