SecurCapital Corp. Transaction Update

SecurCapital Corp. is pleased to announce that it has executed a Share Purchase Agreement (“SPA”) as part of its ongoing efforts to establish a public company platform and advance its broader operating company strategy.

The Company has now executed a Share Purchase Agreement (“SPA”) for the acquisition of a controlling preferred position in Mushrooms Inc. (OTC: MSRM). The executed SPA follows the previously announced transition away from the original Share Exchange Agreement structure and represents an important milestone in the Company’s ongoing efforts.

The transaction remains subject to customary closing requirements, including diligence, financing, legal documentation, regulatory review, and other closing conditions.

Stephen J. Russell, Chief Executive Officer, commented:

While several steps remain before Closing, we believe the SPA structure provides a clearer and more direct path toward establishing an appropriate public company platform. We remain actively engaged and focused on completing the remaining requirements as quickly and responsibly as possible.”

Management continues to work toward Closing as promptly as practicable, with the goal of completing the process by the end of April 2026 or as soon thereafter as reasonably practicable.

While management currently believes the transaction can be completed within the anticipated timeframe, the Closing remains subject to a number of diligence, financing, legal, regulatory, and other customary closing matters, some of which may be outside the Company’s control.

The Company has also begun advancing planning for anticipated post-closing legal, accounting, OTC Markets, transfer agent, FINRA symbol and name change matters, SEC public company disclosure obligations, board and officer appointments, and related compliance requirements.

In addition, SecurCapital continues to advance discussions regarding a potential Pacific Northwest operating company acquisition, as well as separate wholesale bulk space launch discussions involving a global cargo airline operator from Southeast Asia to key USA and global markets.
